Agreement
These Terms of Service (the “Terms”) are an agreement between you and Network Care LLC, a New Jersey limited liability company (“Network Care,” “we,” “us,” or “our”), governing your access to and use of Security Canaries (the “Service”). By creating an account, accepting these Terms, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you can bind that organization. If you do not agree, do not use the Service.
The service
Security Canaries monitors the security posture of domains you register and verify. Monitoring is passive observation of publicly available DNS and web responses for verified domains. It is not penetration testing, vulnerability exploitation, or active intrusion testing, and it does not guarantee that a domain, system, or organization is secure. Results are informational and are not legal, compliance, or professional security advice.
Your account
You must provide accurate account information, keep credentials secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for managing your team members and administrators. You must be at least 18 years old and legally able to enter this agreement. One person or organization may not use accounts to evade plan or usage limits.
Authorized domains and acceptable use
You may monitor only domains that you own, control, or are expressly authorized to administer. You must complete the Service’s ownership-verification process and keep that authorization current. You may not use the Service unlawfully; interfere with the Service or another customer; probe targets you are not authorized to monitor; bypass technical safeguards, rate limits, or plan limits; introduce malicious code; or use results to facilitate harm. We may investigate suspected abuse and require evidence of authorization.
Subscriptions and payment
Paid features, limits, billing periods, and prices are presented when you order. Except where law requires otherwise, charges are non-refundable and subscriptions renew until canceled. You authorize our payment provider to charge the selected payment method and are responsible for applicable taxes. We may change prices prospectively after reasonable notice. Cancellation stops future renewal but does not erase amounts already due.
Customer information and monitoring results
You retain ownership of information you submit and of your per-domain monitoring results. You grant us the limited rights needed to host, process, transmit, and display that information to operate, secure, support, and improve the Service. You are responsible for having any notices and permissions needed for information you submit about users, team members, or domains.
Aggregate and anonymized data
We may create and use aggregate, anonymized statistics derived from checks run through the Service, such as how commonly a security control is deployed. These statistics will not identify you, your organization, or an individual domain. We never publish or sell your per-domain results.
Third-party services
The Service depends on third-party infrastructure and may link to or interoperate with third-party products. Their availability and terms are outside our control. You authorize us to exchange the data reasonably necessary to provide an integration you enable. We are not responsible for third-party products, but we remain responsible for our selection and use of service providers as described in our Privacy Policy.
Intellectual property and feedback
Network Care and its licensors own the Service, software, documentation, branding, and related intellectual property. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active. If you provide suggestions or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or obligation to you.
Suspension and termination
You may stop using the Service and may delete your account subject to the safeguards described in the Privacy Policy. We may suspend or terminate access for material breach, unlawful or harmful use, nonpayment, security risk, or when required by law. When practical, we will give notice and an opportunity to cure. Terms that by their nature should survive termination—including payment, ownership, disclaimers, liability limits, and dispute provisions—will survive.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” NETWORK CARE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR DETECT EVERY SECURITY ISSUE. YOU ARE RESPONSIBLE FOR YOUR OWN SECURITY DECISIONS, BACKUPS, AND COMPLIANCE OBLIGATIONS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THEIR POSSIBILITY. NETWORK CARE’S TOTAL LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID US FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE LIABILITY CANNOT LAWFULLY BE LIMITED.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless Network Care and its personnel from third-party claims, losses, and reasonable costs arising from your monitored domains, your content, your violation of these Terms, or your use of the Service without required authorization. We will promptly notify you and reasonably cooperate; you may not settle a claim in a way that admits our fault or imposes obligations on us without our consent.
Changes to these Terms
We may update these Terms as the Service or law changes. We will post the updated version and effective date and, for material changes, provide reasonable notice. We may require you to accept a new version before continuing to use the Service. Changes apply prospectively unless law requires otherwise.
Governing law and disputes
New Jersey law governs these Terms, without regard to conflict-of-law rules. Any dispute arising from these Terms or the Service must be brought in the state or federal courts located in New Jersey, and each party consents to their jurisdiction and venue. Before filing a claim, each party will make a good-faith effort for 30 days to resolve it informally. Nothing prevents either party from seeking urgent injunctive relief or using a court with jurisdiction over an eligible small-claims matter.
General terms
These Terms and the Privacy Policy are the entire agreement about the Service and replace prior understandings on that subject. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Failure to enforce a term is not a waiver. If a term is unenforceable, the remaining terms continue. Neither party is liable for delay caused by events beyond reasonable control. The English-language version controls if a translation conflicts with it.
